We're looking for a Corporate Paralegal to own corporate housekeeping and entity governance for Flexport's subsidiaries across EMEA. You'll keep our existing entities in good standing across multiple jurisdictions, and you'll be the go-to person as we stand up new entities in new countries. This role sits within the Global Legal Team and works closely with in-house counsel, Finance, Tax, and People teams, as well as local counsel and registered agents across the region.
What you'll do
• Own day-to-day corporate housekeeping and governance for Flexport's EMEA entities: statutory registers, minute books, organizational charts, and corporate records across multiple jurisdictions
• Prepare and maintain board and shareholder resolutions, consents, minutes, and other governance documentation for subsidiary boards
• Manage statutory and regulatory filings (annual returns, changes of director/officer, registered address changes, share allotments, UBO/beneficial ownership filings, etc.) with local registries and authorities across EMEA
• Support the formation, licensing, and onboarding of new legal entities as Flexport expands into new EMEA countries, including coordinating with local counsel, registered agents, banks, and tax advisors
• Maintain Flexport's entity management system as the single source of truth for corporate structure, ownership, and governance records
• Coordinate KYC, UBO, and due diligence requests from banks, customers, and partners across the corporate group
• Support entity rationalization projects, including dissolutions, mergers, re-domiciliations, and intercompany restructurings
• Draft and administer corporate policies, powers of attorney, and officer/director appointment and resignation documentation
• Liaise with Finance, Tax, People, and Compliance teams to keep entity data, licenses, and registrations current as local requirements change
• Support commercial and governance matters more broadly, including contract administration and NDA management, as needed
• Budget and outside counsel management
• Identify and drive process improvements as the legal team scales governance operations across an expanding number of jurisdictions
What you'll need
• 4+ years of corporate paralegal experience, with a strong focus on corporate housekeeping/governance for multiple entities across EMEA jurisdictions
• Hands-on experience supporting the setup of new legal entities in new countries (formation, licensing, bank account opening, initial statutory filings)
• Working knowledge of corporate governance and filing requirements across major EMEA markets (e.g., UK, Netherlands, Germany, France, or similar), and comfort researching requirements in markets that are new to you
• Experience with an entity management platform (e.g., Diligent Entities, Athennian, Blueprint, or similar) and strong corporate record-keeping discipline
• Familiarity with UBO/beneficial ownership regimes and KYC processes
• Excellent organizational skills and meticulous attention to detail, with the ability to manage many entities, deadlines, and jurisdictions at once
• Strong written and verbal communication skills; comfortable working directly with local counsel and government registries
• Ability to work independently in a fast-paced, scaling environment, and to exercise sound judgment on when to escalate
• High degree of professionalism and discretion with confidential information
Nice to have
• Additional European language skills (e.g., French, German, Dutch, Spanish, or Portuguese)
• Paralegal certificate, or a law degree/qualification from an EMEA jurisdiction
• Experience at a fast-growing, multinational technology or logistics company
• Exposure to M&A, intercompany restructuring, or group simplification projects
We offer:
• An opportunity to contribute to one of the fastest-growing companies, where you’ll have the chance to create a global impact while being a part of a thriving multinational environment
